Effective Date: January 1, 2026 · Last Updated: January 15, 2026

These Terms & Conditions ("Terms") govern your access to and use of the website, products, and services offered by NanoDx Corp ("NanoDx", "we", "us"). Please read them carefully.

1. Acceptance of Terms

By accessing or using our website at nanodxcorp.com, placing an order, or otherwise engaging with NanoDx, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

You represent that you are at least 18 years of age and have the legal authority to enter into this agreement. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Use of Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, this site by any third party. Prohibited behavior includes:

  • Attempting to gain unauthorized access to any part of the site, servers, or databases
  • Introducing viruses, trojans, worms, or other malicious code
  • Scraping, crawling, or harvesting content without written permission
  • Reproducing, duplicating, copying, or reselling any portion of the site
  • Using the site to transmit unsolicited commercial communications
  • Impersonating NanoDx, its employees, or other users

We reserve the right to suspend or terminate access to any user who violates these rules.

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with anyone
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. NanoDx is not liable for any loss arising from your failure to safeguard your credentials.

4. Orders & Payment

All orders placed through our website are subject to acceptance and availability. We reserve the right to refuse or cancel any order for reasons including but not limited to:

  • Product unavailability or pricing errors
  • Suspected fraud or unauthorized transactions
  • Export control or regulatory restrictions
  • Failure to meet our minimum order requirements

Prices are listed in US Dollars (USD) and exclude applicable taxes, duties, and shipping unless otherwise stated. Payment must be received in full before shipment. We accept major credit cards, wire transfers, and approved institutional purchase orders.

5. Shipping & Delivery

NanoDx ships worldwide from our facility in Bradenton, Florida. Shipping times are estimates and not guarantees. Title and risk of loss pass to you upon delivery to the carrier.

Certain products — including biological reagents and nanomaterials — may require cold-chain shipping, specialized packaging, or import permits. You are responsible for ensuring compliance with all import regulations in your jurisdiction.

6. Returns & Refunds

Because our products are used in sensitive research applications, we cannot accept returns of opened or thawed items. Unopened catalog products may be returned within 14 days of receipt, subject to a 20% restocking fee and prior authorization.

Custom-synthesized materials, conjugated products, and assay-development services are non-refundable. If a product is defective or does not meet its published specification, contact us within 7 days of receipt and we will replace it or issue a credit at our discretion.

7. Product Use Restrictions

Research Use Only. Unless explicitly stated otherwise on the product label or datasheet, all NanoDx products are sold for research and further manufacturing use only. They are not intended for direct human or animal therapeutic, diagnostic, or household use without appropriate regulatory clearances.

The purchaser is solely responsible for:

  • Complying with all applicable laws and regulations (FDA, EMA, IVDR, CLIA, etc.)
  • Obtaining any necessary licenses, permits, or approvals
  • Performing their own validation studies for their intended application
  • Safe handling, storage, and disposal of products
